KRYEX CODE - END USER LICENSE AGREEMENT
PLEASE READ THIS AGREEMENT CAREFULLY. BY INSTALLING OR USING KRYEX CODE (THE "SOFTWARE") YOU AGREE TO BE BOUND BY IT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
In this Agreement, "Kryex", "we" and "us" mean Kryex Labs, and "you" means the person, or the organization on whose behalf that person acts, installing or using the Software.
1. LICENSE
Subject to this Agreement, Kryex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, for your own internal purposes.
The Software is licensed, not sold. Kryex and its licensors keep all right, title and interest in the Software, including all copyrights and other intellectual property rights. No rights are granted to you other than those expressly stated in this Agreement.
2. RESTRICTIONS
Except to the extent that applicable law gives you a right that cannot be excluded by contract, you may not, and may not allow anyone else to:
- (a)copy the Software, other than as needed to install and run it as permitted above and to make one backup copy of the installer;
- (b)distribute, sell, rent, lease, lend, sublicense, host, or otherwise make the Software available to any third party;
- (c)modify, adapt, translate, or create derivative works of the Software;
- (d)reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code, algorithms, prompts, or other non-public logic of the Software, including by extracting or decompiling its packaged files or compiled components;
- (e)remove, alter, or hide any copyright, license, or other proprietary notice in the Software;
- (f)bypass, disable, or interfere with any sign-in, license, device, access-control, policy, or security feature of the Software or of the Kryex services it connects to;
- (g)use the Software, or anything learned from examining it, to build, train, or improve a competing product or service; or
- (h)use the Software in violation of any applicable law.
Nothing in this Section limits the rights you have under the license of any third-party component described in Section 8.
3. ACCOUNTS AND KRYEX SERVICES
The Software requires an account and connects to Kryex-operated services for sign-in, licensing, and, where your organization uses them, governed access to databases, browsers, and other connections. You are responsible for keeping your credentials confidential and for activity under your account.
If you use the Software through an organization, its administrators may set policies that limit what the Software can do and may review governance and audit records for the organization. Kryex may suspend or end access to the services if you or your organization breach this Agreement or if required by law. Kryex services may change, be interrupted, or be discontinued.
4. THIRD-PARTY AI MODELS AND SERVICES
The Software can send prompts, files, and other content to AI model providers and other services that you or your organization configure, using your own credentials such as API keys. That content is handled under the terms and privacy practices of the provider you choose, not by Kryex. You are responsible for those credentials, for any charges the providers make, and for choosing providers appropriate to the data you handle. Kryex does not control third-party services and is not responsible for them.
4A. KRYEX-HOSTED MODELS
Kryex also offers a limited set of AI models you can use without configuring your own provider credentials (the "Kryex-Hosted Models"), identified as such in the Software. For these, Kryex supplies its own credential with a routing service, which forwards the request to the underlying model provider — the same arrangement as Section 4, except the credential is Kryex's instead of yours. Kryex does not receive, retain, or have access to the prompts, files, or other content you send to a Kryex-Hosted Model, and has never used any such content to train a model. That content is handled solely under the privacy practices and terms of the routing service and the underlying model provider. You are responsible for not using a Kryex-Hosted Model to send content your organization is not permitted to share with those parties.
5. YOUR CONTENT AND AI OUTPUT; ACTIONS ON YOUR DEVICE
You keep whatever rights you have in your code, files, and data. Kryex claims no ownership of them.
AI-generated output can be wrong, incomplete, insecure, or infringing. You are responsible for reviewing it before you rely on or ship it.
The Software can read and change files and run commands on your device, and can act on connected systems, depending on the permission mode you choose. You are responsible for the permissions you grant, for reviewing actions you approve, and for keeping backups of anything important. The permission settings in the Software are conveniences for you and are not a guarantee against mistakes.
6. LOCAL DATA AND DIAGNOSTIC LOGS
The Software stores its data and diagnostic logs on your device, including under %LOCALAPPDATA%\Kryex\logs. These logs are written locally and are not uploaded by the logging feature; you may choose to share them with support. Logs can contain file paths, command lines, model names, and error messages. The Software does not record the text you type into its input boxes in its interaction log and masks text that looks like a credential, but you should review any log before sharing it.
7. EARLY VERSION; UPDATES
The Software is an early release and may contain errors and change without notice. Kryex may provide updates, which are governed by this Agreement unless they come with their own terms. Kryex has no obligation to provide support or updates.
8. THIRD-PARTY COMPONENTS
The Software includes third-party components, including open-source software, that are licensed under their own terms, listed in the file THIRD-PARTY-NOTICES.txt that is installed with the Software. Those terms apply to those components instead of this Agreement, and nothing in this Agreement is intended to restrict any right you have under them.
9. FEEDBACK
If you send Kryex suggestions or feedback, Kryex may use them without restriction or obligation to you.
10. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRYEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. KRYEX'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, OR USD 100 IF YOU PAID NOTHING. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.
12. TERMINATION
This Agreement applies until it ends. It ends automatically if you breach it. You may end it at any time by uninstalling the Software and deleting your copies. When it ends you must stop using the Software and delete all copies. Sections 2, 4 to 6, and 8 to 13 survive termination.
13. GENERAL
This is the entire agreement between you and Kryex about the Software and replaces earlier understandings about it. If a provision is held unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not assign this Agreement without Kryex's written consent; Kryex may assign it. Kryex may update this Agreement for future versions of the Software.
